Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your", "Customer") and Psychology Direct Pty Ltd (ABN 61 671 599 929) trading as Bookley, of 167 Drummond Street, Carlton, Victoria 3053 ("Bookley", "we", "us", "our").

They govern your access to and use of the Bookley software-as-a-service application, our websites at bookley.co and app.bookley.co, related APIs and any associated services (together, the "Service").

By creating an account, ticking the agreement box at sign-up, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using Bookley on behalf of an organisation, you confirm you have authority to bind that organisation.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding contract. You must provide accurate registration information and keep it up to date. You must not register on behalf of someone else without their consent.

We offer a 14-day free trial of the Service. At the end of the trial we will not charge you unless you choose to subscribe. We may modify or discontinue the free trial at any time. Trial accounts are limited to one per organisation.

5. Australian Consumer Law and refunds

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the Service you are entitled to cancel and to a refund for the unused portion or compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. Nothing in these Terms is intended to exclude, restrict or modify those rights.

7. Your data and privacy

You retain ownership of all data you upload to Bookley ("Customer Data"). You grant us a worldwide, royalty-free, limited licence to host, copy, transmit and display Customer Data solely as necessary to provide the Service to you.

When you use Bookley to manage information about your clients, you are the data controller of that information and we act as your processor. You are responsible for ensuring you have a lawful basis to collect that information and for telling your clients how you handle it. Our handling of personal information is described in our Privacy Policy; a Data Processing Addendum is available on request.

We will not access Customer Data except as necessary to operate the Service, to provide support you have requested, or where legally required.

8. Sub-processors and third-party integrations

The Service relies on third parties including Render (hosting), Stripe and Worldline (payments), Sentry (error monitoring) and Xero (optional accounting integration). A current list is set out in our Privacy Policy. By using the Service you agree to our use of these sub-processors.

Where you choose to connect a third-party integration (for example Xero), you are responsible for that third party's terms and any fees they charge.

9. Intellectual property

Bookley, its software, branding, logos and all associated intellectual property rights are owned by us or our licensors. We grant you a non-exclusive, non-transferable, revocable licence to use the Service during your subscription, solely for your internal business purposes. We reserve all other rights.

You may submit feedback or suggestions about the Service. You agree we may use such feedback without restriction or compensation.

10. Service availability and changes

We aim to make the Service available 24x7, but we do not guarantee uninterrupted availability. Planned maintenance will be communicated where practical. We may change, add to or remove features of the Service from time to time; we will not materially reduce the core functionality you have paid for during a paid term without offering a refund of the unused portion.

11. Suspension and termination

We may suspend or terminate your account if (a) you breach these Terms, (b) we are required to do so by law, (c) your payment is overdue by more than 14 days, or (d) we reasonably believe your use of the Service poses a security or legal risk. Where practical we will give you notice and an opportunity to fix the issue.

You may terminate at any time by cancelling within Bookley. On termination your right to use the Service ends. We will make Customer Data available for export for at least 30 days following termination, after which it may be deleted in line with our retention schedule.

12. Warranties and disclaimers

We will provide the Service with due care and skill. To the extent permitted by law, we exclude all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

The Service is not intended to be used as a sole record of clinical or health information. You must keep your own backups and records as required by your professional and legal obligations.

13. Liability

Nothing in these Terms limits any liability that cannot be limited or excluded by law (including under the Australian Consumer Law).

Subject to that, to the maximum extent permitted by law:

You will indemnify us against all claims, losses, damages and expenses (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your Customer Data, or (c) your use of the Service in violation of law or any third party's rights.

15. Beta features

From time to time we may make beta or experimental features available. Beta features are provided "as is" and may be modified, withdrawn or made paid features at any time.

16. Confidentiality

Each party will keep the other party's confidential information confidential and will only use it to perform its obligations under these Terms. This obligation does not apply to information that is public, lawfully received from a third party, independently developed, or required to be disclosed by law.

17. Force majeure

Neither party is liable for any failure or delay caused by an event outside its reasonable control, including natural disasters, war, civil unrest, network or infrastructure failures, government action and pandemics.

18. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email and/or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription before the effective date.
